About this Fund

ROI Income Fund II will originate, invest in and manage a diversified portfolio of commercial real estate investments. The fund invests in value-add and opportunistic real estate investment opportunities across office, industrial, and retail asset types in the Southeastern region of the United States. Investors in Fund II will receive limited liability company membership interests, or units, entitled to a return of capital, a preferred return on investment of 7%, and 75% of all incremental cash flow and capital event proceeds; Projected IRR of 15-20%; $25,000 minimum.

The Manager will receive from Fund II a management fee (the “Management Fee”) equal to 0.60% per annum of Fund II’s gross assets under management, including debt at the investment level, the property level or at the level of subsidiaries of Fund II. The Management Fee will be payable on the initial closing (or such later date as may be determined by the Manager in its sole discretion). Thereafter, the Management Fee will be payable quarterly in arrears on January 1, April 1, July 1 and October 1 of each year, and will be prorated (x) on a daily basis for short fiscal periods and (y) on the date of each Subsequent Closing in order to reflect the increase in the aggregate investments of the members, including, without limitation, upon the admission of additional members. The Manager or its affiliate shall receive a property acquisition fee equal to 2% of each property’s gross acquisition price and a property disposition fee equal to 2% of each property’s gross sales price (together with the Management Fee, the “Fees”). The acquisition fee shall be based on the actual purchase price of each asset purchased by Fund II, and the disposition fee shall be based on the actual sale price of each asset sold by Fund II.
